These Terms and Conditions (the "Terms") govern your access to and use of the website at businessclinic.cc (the "Site") and any digital products, reports, or services purchased through it (together, the "Service"). The Service is operated by Aksiro LLC, trading as Business Clinic ("we", "us", "our"). By using the Site, completing an assessment, or purchasing a report, you ("you", the "User") agree to these Terms. If you do not agree, please do not use the Service.

1.What we offer

Business Clinic provides automated digital diagnostic products for owners of small and mid-sized businesses. The Service consists of:

• The Founder Reality Check — a two-stage assessment (a free gate stage and a full assessment) that produces a readiness score, weakest domain, red flags, and a 90-day plan.
• The Exit Readiness Assessment — a two-stage assessment plus a financial-intake step, producing an SDE build-up, an industry-multiple valuation range, a readiness tier, a red-flag ledger, and a 90-day plan.
• The free provisional read — an automated on-screen and email summary generated from your gate answers, delivered at no cost shortly after Stage 1.
• The paid full reports (paid, USD 49 each, prices in other currencies displayed at checkout) — the detailed automated digital reports generated from your full assessment answers. Each is a digital deliverable, not a consulting service or coaching session.

Reports are generated automatically by software using your assessment answers and, for the Exit Readiness Assessment, the financial figures you enter. The price shown on the Site at the time of purchase is the price you pay; we do not currently offer subscriptions, recurring charges, or upsells.

2.Eligibility

To use the Service you must be at least 18 years of age, or the age of majority in your jurisdiction if higher. By using the Service you represent that you meet this requirement. The Service is intended for owners of active businesses; if you are completing an assessment on behalf of an owner, you should do so with their knowledge and consent.

3.Your account & submitted data

The Service does not currently require a password-protected account. Your assessment is identified by the email address you provide. You agree to:

• Provide accurate and current information when completing the assessment, including a valid email address and — for the Exit Readiness Assessment — your business's financial figures.
• Submit only information about a business that you own or are authorised to represent.
• Not impersonate another person or submit assessments on behalf of someone else without their knowledge.

You are responsible for keeping your contact email accessible so we can deliver your report.

4.Pricing & payment

The gate stage of each assessment and the free provisional read are provided at no cost. Each paid full report is priced at USD 49 (or the local-currency equivalent shown at checkout — GBP, EUR, or AUD), as displayed on the Site at the time of purchase. The price shown is the total amount payable. Where any tax applies, it is included in the displayed price.

The seller and merchant of record is Aksiro LLC, trading as Business Clinic. Card payments are processed by Stripe, Inc.. Your card details are entered on the Stripe-hosted secure payment page and are handled under PCI DSS and the card networks' security standards. We issue the order confirmation and receipt by email.

5.Order acceptance & delivery

An order is accepted when the payment gateway confirms successful payment and we send a confirmation to the email address provided at checkout. The paid full report is generated automatically and delivered by email within a few minutes of payment, in normal operating conditions.

Delivery times are estimates given in good faith. Delays caused by incorrect contact details, email-provider filtering, or factors outside our reasonable control do not constitute breach of contract. If you have not received your report within one hour of payment, please check your spam folder and then contact [email protected].

6.Refunds & consumer rights

Refund terms — including the conditions under which the statutory right of withdrawal applies and the conditions under which it is waived in exchange for immediate delivery of digital content — are set out in our Refund Policy, which forms part of these Terms.

7.What the Service is — and is not

The Service is a diagnostic and educational digital product. The reports describe patterns we observe in your assessment data and suggest areas for action. The Service is not:

• A regulated financial, accounting, tax, legal, or investment advisory service.
• A business valuation prepared by a licensed appraiser, and not a substitute for one. Any valuation range shown is a screening estimate based on industry-multiple benchmarks applied to the figures you provide.
• Personal coaching, consulting, or bookkeeping.
• A guarantee of any specific business outcome, sale price, or improvement in operations.

You remain solely responsible for how you apply any information in the reports. Before making significant financial, commercial, or transactional decisions based on a report, you should consult an appropriately qualified professional.

8.Acceptable use

When using the Service you agree not to:

• Submit false, misleading, abusive, or unlawful content (including in free-text fields).
• Submit content that infringes the rights of any third party, including confidentiality obligations, trade-secret protection, or privacy rights.
• Attempt to interfere with the Site's operation, probe for vulnerabilities, or circumvent any security or rate-limit measure.
• Resell, republish, or commercially redistribute the reports or any other Site content without our prior written permission.

We may suspend or terminate your access, and decline to provide a report, where these Terms have been breached. Where a paid report has not yet been delivered and termination is due to your material breach, no refund will be due.

9.Intellectual property

All content on the Site — including the assessment questions, scoring system, tier framework, findings library, report templates, written copy, design, and source code — is the intellectual property of Aksiro LLC and is protected by copyright and other applicable laws.

When you receive a personalised report, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to use that report for your own personal, non-commercial purposes and to share it with your professional advisers on a confidential basis. You may not copy, distribute, modify, publish, or create derivative works from the report, or any part of the Site, without our prior written consent.

You retain ownership of the content you submit (assessment answers, financial figures, free-text notes). By submitting it, you grant us a worldwide, royalty-free licence to use it solely for the purposes of generating your report, operating the Service, and improving our scoring system in aggregated, anonymised form.

10.Privacy & data protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. By using the Service you confirm that you have read and understood the Privacy Policy.

11.Third-party services

The Site relies on third-party platforms to operate, including Google Workspace (Apps Script, Sheets, Gmail), Resend (email delivery), Cloudflare (site hosting and edge functions), and Stripe, Inc. (card payment processing). Your use of any third-party service you reach from the Site is governed by that service's own terms — we do not control them and are not responsible for their content or availability.

12.Disclaimers

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available". We make no warranties, express or implied, about the accuracy, completeness, fitness for a particular purpose, or non-infringement of the Site or any report. Self-rated and self-reported information — including financial figures — naturally affects the precision of any diagnosis or valuation derived from it.

13.Limitation of liability

To the fullest extent permitted by applicable law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost opportunities, lost sale value, or loss of data — arising from your use of the Service.
• Our aggregate liability for all claims arising out of or relating to the Service in any twelve-month period shall not exceed the total amount you paid us during that period (or, where you have not paid us, USD 50).
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded under the consumer-protection laws applicable to you.

14.Indemnity

You agree to indemnify and hold harmless Aksiro LLC, its owners, managers, and contractors against any third-party claim, demand, loss, or reasonable legal cost arising from your breach of these Terms, your unlawful use of the Service, or content you submitted that infringed a third-party right.

15.Changes to the Service or these Terms

We may update the Service, the assessments, the report templates, and these Terms from time to time. Updates to these Terms take effect when published on this page. The Terms in force at the time of your purchase apply to that purchase. For any material change affecting a paid report already purchased but not yet delivered, we will contact you by email and offer a refund where appropriate.

16.Governing law & jurisdiction

These Terms are governed by the laws of the State of Florida, United States of America, without regard to conflict-of-laws principles. The state and federal courts located in Pinellas County, Florida shall have exclusive jurisdiction over any dispute arising from these Terms — subject always to any mandatory consumer-protection rights you have under the laws of your country of residence.

If you are an EU/UK consumer, you may also bring proceedings in the courts of your country of residence, and you may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17.Severability & entire agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us with respect to the Service and supersede any prior agreements.
